RATIFICATION OF MINUTES
President David Marino entertained a motion to approve and dispense with the reading of the minutes from the Meeting of the Board of Trustees held on February 14, 2008. Trustee
Gary Matsubara so moved. Trustee David Ortiz seconded the motion. There were no discussions or objections.

PRESIDENT’S REPORT
1) President Marino mentioned they had received four individuals for the Scholarship Program and asked Trustees to encourage members with kids going to college to send in an application.
2) President Marino mentioned they had attended the Coins in the Fountain event. He also mentioned that Ben & Jerry’s wanted to have an Ice Cream scoop giveaway and will donate every cent collected for four hours to WODFF.
VICE PRESIDENT’S REPORT
1) Trustee David Peters reported that Vice President Steinbacher had been working on obtaining different style of brief cases for Trustees. He asked Trustees to see Steinbacher if they had suggestions.
2) Trustee David Peters mentioned the Medco conference in Florida, the Investment Conference in Philadelphia and the IFEBP Conference in San Antonio, TX. He mentioned the names of Trustees attending the conferences and asked for those interested in attending the IFEBP conference.
EXECUTIVE DIRECTOR REPORT
1) David Smith mentioned that all the issues with the building permits have been solved and the move is scheduled for Friday, March 28th. He mentioned that Dalmatians storage items were being moved today and the rest of the merchandise will be moved on March 26th.
He mentioned that he notified the new owner of the 2900 Temple Street building that the rent check was prorated to April 4th and new owner would need to change utilities by April 7th. He also mentioned that the current outlook is we are $10,000 under from the bid signed with the contractor.
2) David Smith provided the Strategic Planning report including a handout containing the Development and Marketing report. He mentioned that we had received a $10,000 donation from Staples and $2,500 from the Coins in the Fountain event. He also mentioned that we have applied for our first grant of $50,000.
INVESTMENT COMMITTEE
Garth Flint reported on the 4th quarter of 2007 and indicated there had been a shift in investor support away from the Russell 1000 Growth and Russell 1000 Value in that they were both negative for the quarter. He referred to the S & P 500 and stated that International stocks have continued to outperform U.S. stocks. He reviewed the Executive Summary of the portfolio and mentioned that our composite investment performance had been down by a fraction for the quarter.
Chairman Kurt Stabel provided his report on investments.
Summary of meetings with PIMCO and Knightsbridge
PIMCO:
On February 25th, 2007 Investment Committee members Chris Stine and Kurt Stabel, along with LAFRA’s investment consultant Garth Flint, met with Scott Martin from PIMCO and other of the firm’s employees reviewing LAFRA’s investment performance, general economic outlook, and possible future investment strategies available through PIMCO. PIMCO had an extremely good year in terms of performance and can generally attribute their strong showing to three factors: very little exposure to the high yield market (sometimes referred to as “junk bonds”), use of a non-dollar hedge, and a heavy bet on a normalization of the yield curve (“fed easing” or the fed cutting rates). This strategy paid off for PIMCO during 2007 vs. 2006 where they had made this bet too early and their performance suffered. Going forward the firm sees continued weakness in the U.S. dollar and PIMCO will overweight foreign currencies and concentrate on high-quality agency issues like Fannie Mae and Freddie Mac in their “Total Return Fund” in which we have a large investment.
Scott Martin addressed the firm’s economic outlook and in general sounded very cautious regarding the U.S. economy. PIMCO expects the Fed to be very aggressive in taking proactive steps to mitigate significant downturns in the economy. This point has been proven in recent days and weeks with the Fed substantially cutting rates and intervening in financial markets to provide substantial additional liquidity to the mortgage-backed security market. Regardless, the negative impact to the economy is unavoidable and the unknown outcome is, how severe will the slowdown be in the U.S. One of the major factors that will affect this outcome is the current housing crisis. Fed cuts in interest rates will lessen the potential storm on the horizon but the tightening of access to mortgages for the average homeowner may prolong the current downturn.
Going forward PIMCO has different fund options which could be considered as a supplement to the “Total Return Fund” (LAFRA has all of its bond allocation in the Total Return Fund). Specifically two funds were discussed, PIMCO’s “Absolute Return Strategies” (PARS) and the “All Asset Fund”. PARS is a leveraged product and can generally be defined as a “hedge fund”. The “All Asset Fund” is unhedged (no leverage) and is run in conjunction with Research Affiliates to identify the best investment opportunities from PIMCO across all asset classes. Both products if implemented properly should enhance LAFRA’s returns and reduce overall portfolio volatility. The potential for these two other investment vehicles will be investigated and presented separately at a later date.
Knightsbridge:
On February 25th, 2008 Kurt Stabel met with Alan T. Beimfohr, Jane E. Couperus, Raymond F. Pentz, and John G. Prichard of Knightsbridge Asset Management at their offices in Newport Beach. In short, Knightsbridge had a very difficult 2007 returning a negative 2.6% for LAFRA’s portfolio vs. a positive 5.5% for the S&P 500 for a cumulative underperformance of 8.1%. Knightsbridge has what can be described as a “concentrated portfolio” (holding relatively few stocks). This coupled with the fact that they have a sizeable commitment to the financial sector in their portfolio severely impacted their performance. The firm’s strategy can be considered contrarian and short-term performance can vary from relative benchmarks. But, in light of the firm’s recent performance the Investment Committee recommends that all future investments from LAFRA to Knightsbridge be suspended immediately and the firm be placed on a “watch list”. The “watch list” will begin at the end of Q1, FY ’08 and last for six months ending Q3, FY ’08 at which time the firm’s performance will be reviewed and the Investment Committee will determine whether to retain or discontinue the firm’s services.
Knightsbridge discussed their outlook for the U.S. economy and was generally cautious. An emphasis was placed on the gloomy outlook for the housing market coupled with the current turmoil in the credit markets adding additional downward pressure on the housing crisis. Consensus is that the evaporation of homeowner’s equity could translate into a tightening in consumer spending which in turn could result in negative GDP growth (e.g. recession). Alan Beimfohr noted that the Fed is taking a stance of drastically cutting rates which could result in “inflating” us out of our current situation. Emerging markets and continued strength in European markets could buffer a slowing U.S. economy.
The Investment committee recommends and I so move to place Knightsbridge Asset Management on the “watch list”. There was no discussion or objections.

Investment Chairman Kurt Stabel indicated there was the issue how to invest the money for the Building Fund. He stated that they had discussed the option in the Administrative Committee and indicated they have decided to move forward and invest the money alongside with all the other monies, however account for it separately and call it the Building Fund. He mentioned they will have Union Bank set up an account to track that money. He stated that the money will be co-mingled for investment however, in terms of tracking, it will be accounted as a separate account.
The committee recommends and I so move to co-invest the proceeds of the building sale alongside all other funds, however, keep separate accounting through Union Bank. Trustee Gary Matsubara asked if there was the ability to use the funds or would they be subtracted from every account. Chairman Kurt Stabel indicated that that money will come from the sale of the building and would go into one pot and be invested with all other monies. David Smith mentioned that there was a second recommendation from the Administrative Committee that was to fund the rent out of Operations and not take from the Building Fund. There was no further discussion or objections.
Motion carried to co-invest the proceeds of the building sale alongside all other funds, however keep separate accounting through Union Bank.
Todd Layfer mentioned that from a financial reporting perspective, the tenant improvements will be allocated out over the 7-year lease period. He stated that the $1.1 million will not hit the financial statements in 2008 even though they are paid for this year. He stated that it would be spread over the 7 year life of the lease.
The committee recommends and I so move to approve the allocation of the lease expenses among the various operating funds (Medical, Relief, L & A and WODF). On the question, there was an objection. Nine voted in favor of the motion, two voted opposed.
Motion carried to approve the allocation of lease costs to the operating funds.
Chairman Kurt Stabel mentioned that they had a meeting scheduled to visit Brandes Investment Partners on March 25th.
ADMINISTRATIVE COMMITTEE REPORT
Chairman David Peters presented the following motions.

President Marino stated that there were costs involved when a member requests a membership list including labor, paper and printing. There was no discussion or objections.

Todd Layfer mentioned that they have created a promotion form for the Dalmatians store that will track merchandise utilized for events and to be charged back at cost to the event.
Chairman Peters indicated that they have entered into a consultant contract with the Accounting Manager to remain until April 30th.

EXECUTIVE SESSION
The Board entered into Executive Session at 1:28p.m.
The Board adjourned from Executive Session at 1:58p.m.
President Marino stated that the Board approved action in Executive Session to suspend a member effective March 18, 2008 and to move forward towards expulsion at the next Board meeting following proper procedures according to the By-laws. Additionally, President Marino was directed to have the Association’s attorney start the process to recover the amount owed plus interest and expenses of said member.

1) Chairman Overholser mentioned that the Segal Company had completed the majority of the audit of the Retiree Medical Plan which was done at the request of the City Pension Department. This review went very well; LAFRA was represented by our medical consultant Dawna Gray. He stated that the next step was follow-up interviews pertaining to the Retiree Medical Plan.
2) Chairman Overholser informed the Board that they were going to have an open enrollment during April and May for a July 1st enrollment date and November for a January 1st enrollment date. This will include mailing to Kaiser plan participants and Relief members not enrolled in one of our plans. He stated that in 2009 we will hold the once-per year open enrollment with packages sent to the entire membership.
GRAPEVINE COMMITTEE REPORT
Chairman Chris Hart provided an overview of what is going on with the Grapevine. He stated that they were in the process of switching printer companies to Color Graphics. He indicated that will be saving approximately $30,000 per year by using the new printer company. He stated that much of the pricing of the magazine is based on 64 pages. He indicated that there may be bigger events on certain months which may result in more pages, however if they maintain the range of 64 pages, they might save more money. He indicated that are going to evaluate if Marketing and Dalmatians should start paying the Grapevine for advertising.
RELIEF COMMITTEE REPORT
Chairman James Coburn presented the following motions.

BY-LAWS COMMITTEE REPORT
Chairman Warren Braun suggested that all Trustees review the by-laws along with the Secretary-Treasurer, Executive Director and the Controller. He indicated that there were a number of areas that needed attention and updating.
ELECTION COMMITTEE REPORT
Secretary-Treasurer Andrew Kuljis stated that the election is going as scheduled and asked if anyone would be interested in volunteering when ballots arrive.
SPECIAL EVENTS
Chairman David Ortiz mentioned that there is a concern with the Picnic Regatta in that we are having a tough time obtaining insurance for the on the water portion of the event. He stated that they were still continuing trying to find insurance coverage.
NEW BUSINESS
Trustee Juan Albarran motioned to approve another 250 patches for members serving over seas. Trustee David Peters so moved. Trustee David Ortiz seconded the motion. There was no discussion or objections.
